ACCEPTANCE OF TERMS
By accessing, browsing, or using the Varyx platform (the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. These Terms constitute a legally binding agreement between you and Nexlyr LLC ("Varyx," "we," "us," or "our").
If you do not agree to these Terms, you must immediately cease using the Service. We reserve the right to update these Terms at any time. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
DESCRIPTION OF SERVICE
Varyx is a sports analytics and research platform that provides users with player statistics, performance trend analysis, prop line comparisons, AI-powered research tools, and Variable X situational intelligence signals. The Service is designed to assist users in understanding statistical patterns and historical performance data.
Varyx is NOT a sportsbook and does not facilitate, process, or accept wagers of any kind. Varyx does not provide financial, betting, or investment advice. All content, analysis, outputs, and AI-generated insights are intended for informational and entertainment purposes only and do not constitute recommendations to place any wager.
Past statistical patterns identified by Varyx do not guarantee future player performance or game outcomes. You are solely responsible for any wagering decisions you make.
ELIGIBILITY
You must be at least 21 years of age to use the Service. By creating an account or accessing Varyx, you represent and warrant that you are 21 years of age or older.
You also represent that you have the legal capacity to enter into binding contracts and that your use of Varyx complies with all applicable laws in your jurisdiction. If you are accessing Varyx from a jurisdiction where access to sports analytics tools is restricted, you are responsible for compliance with local laws.
ACCOUNT REGISTRATION & SECURITY
To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.
You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@varyx.app if you suspect any unauthorized access to your account.
Nexlyr LLC is not liable for any loss or damage arising from your failure to protect your account credentials. We reserve the right to disable any account at our discretion if we believe security has been compromised.
SUBSCRIPTION PLANS & BILLING
Varyx offers three subscription tiers:
Paid subscriptions are billed monthly on a recurring basis. Your subscription will automatically renew each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through the Settings page in the app — your access will continue through the end of your current billing period.
All prices are in USD. We reserve the right to modify pricing with 30 days advance notice to existing subscribers.
FREE TIER LIMITATIONS
The Free tier provides limited access to the Service with the following daily quotas:
- 1 game per day (full game detail access)
- 3 player views per day (detailed player modal with game logs and trends)
- 1 AI analysis per day (AI Tools access)
- Basic statistics and slate overview
Free tier users do not have access to Variable X signals, Best Picks theories beyond the first, or AI Tools beyond daily quota. Quotas reset each day at 5:00 AM Eastern Time. Nexlyr LLC reserves the right to modify Free tier limitations at any time.
REFUND POLICY
All subscription fees are non-refundable except as described below. Cancellation of a subscription stops future billing but does not entitle you to a refund of any fees already paid for the current billing period.
First-time subscriber refund: If you are subscribing to a paid plan for the first time and are dissatisfied with the Service, you may request a full refund within 48 hours of your initial charge, provided that you have not excessively used the premium features (defined as more than 5 AI analysis calls during the refund window).
To request a refund, contact us at support@varyx.app within the 48-hour window with the subject line "Refund Request." Approved refunds will be processed to your original payment method within 5–10 business days.
INTELLECTUAL PROPERTY
All content, features, and functionality of the Service — including but not limited to the Variable X Situational Intelligence System, AI-generated analysis outputs, prop card designs, tier rating systems, software, text, graphics, logos, and trademarks — are owned by or licensed to Nexlyr LLC and are protected by United States and international intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial research purposes. This license does not include the right to sublicense, sell, resell, transfer, assign, or commercially exploit any portion of the Service.
USER CONDUCT
You agree not to engage in any of the following prohibited activities:
- Reverse engineering, decompiling, or disassembling any part of the Service
- Scraping, crawling, or automated extraction of data from the Service
- Reselling, redistributing, or commercially exploiting any data, analysis, or content from the Service
- Circumventing or attempting to circumvent any access controls, subscription limits, or authentication systems
- Using the Service in violation of any applicable law or regulation
- Sharing account credentials with others or creating accounts on behalf of third parties
- Interfering with or disrupting the integrity or performance of the Service
- Uploading or transmitting malicious code of any kind
Violation of these conduct rules may result in immediate account suspension or termination without refund.
DISCLAIMER OF WARRANTIES
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NEXLYR LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Nexlyr LLC does not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or timeliness of any data, statistics, prop lines, or AI-generated content available through the Service.
LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NEXLYR LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.
In no event shall Nexlyr LLC's aggregate liability to you for all claims arising out of or in connection with your use of the Service exceed the total fees you paid to Nexlyr LLC in the 12 months immediately preceding the event giving rise to the claim. If you have not paid any fees (i.e., you are on the Free tier), Nexlyr LLC's aggregate liability shall not exceed $10.00.
These limitations apply regardless of the theory of liability (contract, tort, warranty, or otherwise) and even if Nexlyr LLC has been advised of the possibility of such damages.
RESPONSIBLE GAMBLING NOTICE
Varyx does not facilitate, promote, or encourage sports betting or gambling of any kind. However, we recognize that some users may use sports analytics tools in connection with wagering activities. If you or someone you know may have a gambling problem, confidential help is available.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in our Privacy Policy.

TERMINATION
Nexlyr LLC reserves the right to suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice, including for violation of these Terms, fraudulent activity, or conduct that we determine is harmful to other users or the Service.
You may cancel your account at any time through the Settings page within the app. Upon cancellation of a paid subscription, your access to premium features will continue through the end of your current billing period. Upon account termination, your license to use the Service is immediately revoked.
GOVERNING LAW & DISPUTE RESOLUTION
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. The arbitration shall take place in Delaware or via remote hearing.
Good-Faith Negotiation: Before initiating arbitration, you agree to contact us at support@varyx.app and attempt to resolve the dispute through good-faith negotiation for a period of at least 30 days.
Class Action Waiver: YOU AND NEXLYR LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
Small Claims Exception: Either party may bring an individual action in small claims court for disputes within the court's jurisdiction.
INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Nexlyr LLC and its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
- Your use of or access to the Service
- Your violation of these Terms
- Your violation of any third-party rights, including intellectual property rights
- Any wagering decisions you make in connection with use of the Service
CHANGES TO TERMS
We reserve the right to modify these Terms at any time. For material changes, we will provide at least 30 days advance notice via email to the address associated with your account or via an in-app notification.
Non-material changes (such as clarifications, formatting updates, or corrections) may be posted without advance notice. The "Effective" date at the top of this page reflects when the current version took effect. Your continued use of the Service after the effective date of any changes constitutes acceptance of the revised Terms.
